Welcome to GovAIgent. By using our services, you agree to the terms outlined below. These Terms & Conditions define how we operate, what we offer, and how we work with our clients. If you have any questions, feel free to contact us.

1. Scope of Services

GovAIgent provides consulting and advisory services for government technology procurement. This includes:

  • Procurement strategy

  • Vendor pricing analysis and negotiation

  • RFP and contract review support

  • Pilot-to-production transition planning

We do not sell software, act as resellers, or offer legal services.

2. No Legal Advice

GovAIgent is not a law firm and does not provide legal advice. Any guidance on contracts or agreements is offered from a business advisory perspective only.

Clients are responsible for obtaining their own independent legal counsel before signing any contracts with vendors.

3. Fees & Payment

  • All fees are quoted in USD unless otherwise stated.

  • Payments are due as outlined in your service agreement or invoice.

  • Late payments may incur a 1.5% monthly interest charge on outstanding balances.

4. Confidentiality

We treat all client materials, discussions, and data as strictly confidential.

We also ask that you respect the confidentiality of any GovAIgent materials, tools, or templates provided during our engagement.

5. Intellectual Property

All deliverables, frameworks, and tools created by GovAIgent are owned by GovAIgent. You may use them for internal purposes only and may not reproduce, distribute, or share them externally without written permission.

6. Limitation of Liability

Our total liability under any engagement is limited to the total amount paid to GovAIgent in the 90 days preceding any claim.

We are not responsible for:

  • Vendor performance issues

  • Legal enforceability of contracts

  • Lost savings or missed opportunities

  • Indirect or consequential damages

7. Third-Party Information

GovAIgent may use publicly available data, vendor quotes, or market benchmarks. While we strive to ensure accuracy, we do not guarantee the completeness or timeliness of third-party data.

8. Termination

Either party may terminate an engagement with 14 days’ written notice. Work completed up to the termination date will be invoiced and payable.

9. Governing Law

These terms are governed by the laws of the Province of British Columbia, Canada. Any disputes will be handled in the courts of that jurisdiction.

10. Updates to Terms

We may update these Terms & Conditions at any time. Updates will be posted here, and continued use of our services implies acceptance of the updated terms.
